Terms of sale
Version of 21 September 2026
1. Purpose and scope
These general terms and conditions of sale govern the sales of cosmetic products made by the company Yeoskin, a SAS (simplified joint-stock company) with share capital of €10,000, whose registered office is located at 20 rue de Stalingrad, 93310 Le Pré-Saint-Gervais, registered with the Bobigny Trade and Companies Register (RCS) under number 939 432 175, intra-Community VAT number FR46939432175 (hereinafter "Yeoskin"), on the website yeoskinpro.com.
They are intended exclusively for buyers acting for professional purposes, within the scope of their commercial, industrial, craft or professional activity (hereinafter "the Customer"). Yeoskin does not sell to consumers. The provisions of the French Consumer Code relating to contracts concluded with consumers, in particular the fourteen-day right of withdrawal, do not apply.
In accordance with article L.441-1 of the French Commercial Code (Code de commerce), these terms constitute the sole basis of the commercial negotiation. Any order implies unreserved acceptance of these terms and waiver of the Customer's general terms of purchase, whatever they may be.
2. Business account
Access to prices and the placing of orders require the creation of a business account and its validation by Yeoskin. In support of its application, the Customer provides its registration number and, where applicable, its intra-Community VAT number, as well as the nature of its activity.
Yeoskin reserves the right to refuse or suspend an account, without having to give reasons, in particular in the event of inaccurate information, non-payment, or activity incompatible with professional distribution.
The Customer is responsible for the confidentiality of its login credentials and for any order placed from its account.
3. Products
The products offered are those listed on yeoskinpro.com on the day of the order, subject to available stock. Photographs and descriptions are provided for information only and have no contractual value as to the exact appearance of the packaging, which may change from one batch to another.
The products distributed by Yeoskin in Europe are notified on the CPNP portal and labelled in accordance with Regulation (EC) No 1223/2009 on cosmetic products.
Yeoskin reserves the right to modify the composition of its range at any time. In the event of unavailability identified after the order, the Customer is informed and may opt for a replacement, a credit note or a refund of the line concerned.
4. Prices
Prices are expressed in euros and exclusive of tax, ex-warehouse, excluding any customs duties and import taxes that may apply in the country of destination. Transport costs are governed by article 7.
Intra-Community deliveries are invoiced without French VAT, by application of the reverse charge mechanism, provided that the Customer provides a valid intra-Community VAT number at the time of the order and that the legal conditions for exemption are met. Failing this, French VAT is applied.
The minimum order amount is €650 excl. VAT.
Yeoskin may change its prices at any time; the applicable price is the one in force on the day the order is recorded.
5. Orders
Orders are placed online from the Customer's business account. An order becomes firm and final upon receipt of payment.
Any modification or cancellation requested by the Customer after shipment cannot be taken into account.
Yeoskin reserves the right to cancel or suspend an order in the event of a manifest pricing error, suspected fraud, or a previous payment incident.
6. Payment
Payment is made in full at the time of the order, by the means offered at checkout. No order is prepared before payment has actually been received.
In accordance with articles L.441-10 et seq. of the French Commercial Code, any late payment automatically entails, without prior formal notice, the application of late payment penalties calculated at the European Central Bank's semi-annual key interest rate plus ten percentage points, together with a fixed indemnity of €40 for recovery costs. Where the recovery costs incurred exceed this fixed amount, Yeoskin may claim the balance upon presentation of supporting documents.
No discount is granted for early payment.
7. Delivery
Products are shipped from Yeoskin's European warehouse by tracked delivery. The indicative lead time is 7 to 10 days from receipt of payment, excluding stockouts and cases of force majeure. Lead times are indicative; exceeding them cannot give rise to cancellation, compensation or penalties.
Transport costs: free shipping in Europe. For destinations outside Europe, they are invoiced and communicated to the Customer before the order is confirmed. Customs duties, import taxes and formalities of the country of destination remain the sole responsibility of the Customer.
Transfer of risk: the risks of loss and damage are transferred to the Customer upon handover of the products to the carrier.
Reservations: it is the Customer's responsibility to check the condition and conformity of the parcels upon receipt, to state precise and detailed reservations on the delivery note, and to confirm them to the carrier in writing within three days of receipt, in accordance with article L.133-3 of the French Commercial Code. A copy must be sent to Yeoskin within the same period.
8. Claims, non-conformity and returns
Any apparent non-conformity, preparation error or missing item must be reported to info@yeoskin.com within eight working days of receipt, with photographs, the order number and the references concerned.
After review, Yeoskin will, at its option, replace the products, issue a credit note or provide a refund. The costs of returning products recognised as non-conforming are borne by Yeoskin.
No returns for convenience are accepted. Products that conform to the order are neither taken back nor exchanged, in particular in the event of a selection error, overstock or a change in the Customer's product assortment.
No return may be shipped without Yeoskin's prior written consent. Returned products must be in their original packaging, unopened and fit for resale.
9. Retention of title
Yeoskin retains ownership of the delivered products until full payment of their price, principal and ancillary amounts, in accordance with articles 2367 et seq. of the French Civil Code and article L.624-16 of the French Commercial Code. The transfer of risk nevertheless takes place upon handover to the carrier, in accordance with article 7.
10. Warranties and liability
The products benefit from the statutory warranty against hidden defects under the conditions of articles 1641 et seq. of the French Civil Code. The warranty does not cover damage resulting from unsuitable storage, exposure to heat or light, exceeding the date of minimum durability, or any handling of the product or its labelling by the Customer.
Yeoskin's liability is limited to direct and foreseeable damage, and may in no event exceed the amount, excluding tax, of the order concerned. Indirect damage is excluded, in particular loss of turnover, margin, customers or reputation.
11. Customer obligations
The Customer undertakes to store the products in conditions consistent with the indications shown on the packaging, to comply with the dates of minimum durability, and not to modify the products, their packaging or their labelling.
It is the Customer's responsibility to ensure compliance with the regulations applicable to the marketing of cosmetic products in its territory, in particular as regards consumer information and labelling language.
The Customer freely sets its resale prices and freely chooses its distribution channels. Any recommended retail prices communicated by Yeoskin are not binding.
12. Intellectual property
Yeoskin authorises the Customer to use the product visuals and texts provided solely for the purpose of reselling the products purchased, without any modification that alters the identity of the brands. This authorisation ends upon termination of the commercial relationship. The distributed brands remain the property of their owners; no licence is granted to the Customer beyond the foregoing.
13. Force majeure
Yeoskin cannot be held liable for failure to perform its obligations in the event of force majeure within the meaning of article 1218 of the French Civil Code, in particular in the event of natural disaster, epidemic, conflict, transport disruption, supply failure by the manufacturer or a decision of a public authority.
14. Personal data
Data collected in the course of the commercial relationship is processed in accordance with our Privacy Policy.
15. Governing law and jurisdiction
These terms are governed by French law, to the exclusion of the Vienna Convention on the International Sale of Goods.
In the event of a dispute, the parties will first seek an amicable solution. Failing agreement, the Commercial Court of Bobigny shall have sole jurisdiction, including in the event of multiple defendants, third-party proceedings or summary proceedings.
